Section 1 Scope and Contracting Party

(1) The contracting party is:

(2) These General Terms and Conditions apply to contracts for the purchase of goods concluded through quadroshop.com or on the basis of a custom order proposal from QUADRO. They apply to Consumers and Business Customers, including Resellers. These General Terms and Conditions do not apply to contracts concluded through standalone regional QUADRO online stores, including, in particular, quadroshop.co.uk, quadroshop.com.au, quadrotoys.com, and quadroshop.cn. If QUADRO goods are purchased from a third party, only the standalone Voluntary Nine-Year Guarantee set out in Section 10 applies, provided its requirements are met; in all other respects, the purchase contract is solely between the purchaser and the applicable third-party seller.

(3) A Consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside that person's trade, business, or profession. A Business Customer is any natural person, legal entity, or partnership with legal capacity who or that, when entering into the contract, acts in the course of that person's or entity's trade, business, or profession. Consumers and Business Customers are collectively referred to as Customers.

(4) Individual agreements between QUADRO and the Customer, as well as separate framework agreements, dealer terms, Reseller agreements, or other business-customer terms that QUADRO and the Customer have expressly agreed will apply, take precedence over these General Terms and Conditions. Any deviating or supplemental terms and conditions of a Business Customer apply only if QUADRO has expressly agreed to their incorporation. This consent requirement also applies if QUADRO performs without reservation while aware of the Business Customer's terms and conditions.

(5) Once effectively incorporated, these General Terms and Conditions also apply to future contracts of the same type with Business Customers arising from an ongoing business relationship, without QUADRO having to refer to them again in each individual contract. Individual agreements and any more recent terms effectively incorporated in the interim continue to take precedence.

Section 2 Formation of the Contract in the Online Store

(1) The presentation of goods in the online store does not constitute a binding contractual offer. It invites the Customer to submit an offer.

(2) Before submitting the order, the Customer may review, change, or delete the Customer's entries and may cancel the ordering process until the final order button is selected.

(3) By selecting the final order button, the Customer submits a binding offer to purchase the goods in the shopping cart.

(4) An automatically generated acknowledgment of receipt of the order merely confirms that QUADRO has received the order. It is neither an Order Confirmation nor an acceptance of the offer.

(5) The purchase price must be paid in advance. Receipt of full advance payment is a prerequisite for QUADRO's acceptance of the offer. Neither a payment transaction initiated during checkout, a payment confirmation, nor any authorization, hold, or charge involving the selected payment method constitutes an Order Confirmation or acceptance of the offer.

(6) The contract is formed only when, after receipt of full payment, QUADRO sends an Order Confirmation to the Customer. Receipt of full payment alone does not result in formation of the contract. Until the Order Confirmation has been sent, QUADRO remains free to accept or reject the offer.

(7) QUADRO may accept the offer within five business days after receipt of full payment. Saturdays are not business days. If the offer is not accepted within this period, it expires; QUADRO will refund any payment already received without undue delay.

(8) If full payment is not received within the payment period specified during checkout, in the payment request, or otherwise in text form, the Customer's offer automatically expires at the end of that period, without any payment reminder or other notice from QUADRO being required. QUADRO may send a payment reminder or extend the payment period but is not obligated to do so. A payment received only after expiration of the period constitutes a new offer from the Customer. QUADRO may accept this offer by sending an Order Confirmation; otherwise, QUADRO will refund the payment without undue delay.

(9) Before submitting the order, the Customer may access, save, and print these General Terms and Conditions using the link provided during checkout. QUADRO stores the order data and, together with the Order Confirmation, provides the Customer with the contractual content, including the General Terms and Conditions applicable at the time the contract is formed and the legally required contractual information, on a durable medium, either in full in the body of the email or as a PDF attachment.

Section 3 Custom Order Proposals

(1) For a custom inquiry, Customers may submit to QUADRO QDF files, sketches, drawings, handwritten notes, Word or Excel files, bills of materials, images, text, project descriptions, or comparable materials. QDF stands for QUADRO Design File. A QDF file can be created using the QUADRO computer program.

(2) The Customer is responsible for the completeness and accuracy of the information submitted. Before approving the custom order proposal, the Customer must review it, including the goods, quantities, and configurations listed, and notify QUADRO of any identifiable discrepancies.

(3) QUADRO decides whether, and to what extent, to prepare a nonbinding custom order proposal based on the information submitted. The determination of the required parts is based on that information. QDF files may not include all parts required for assembly, particularly tube screws or screw keys. QUADRO may include functionally suitable additions, alternatives, or replacement parts in the custom order proposal.

(4) The custom order proposal is not a binding offer from QUADRO. Together with the custom order proposal, QUADRO provides a Consumer with the General Terms and Conditions, the instructions on the right of withdrawal, and the legally required contractual information in a format that can be saved. By approving the custom order proposal and making full payment, the Customer submits a binding offer to purchase the goods listed in the custom order proposal. The contract is formed only if, after receipt of full payment, QUADRO accepts this offer by sending an Order Confirmation. An automatically generated acknowledgment of receipt, the payment transaction, and a payment confirmation do not constitute acceptance. QUADRO may accept the offer within the acceptance period specified in the custom order proposal or, if no such period is specified, within ten business days after receipt of full payment; Saturdays are not business days. If the acceptance period expires without acceptance, the offer expires, and QUADRO will refund the payment without undue delay. If payment is not received until after the payment period specified in the custom order proposal or payment request has expired, it constitutes a new offer from the Customer; QUADRO may accept it by sending an Order Confirmation and will otherwise refund the payment without undue delay. Together with the Order Confirmation, QUADRO provides the Customer with the contractual content on a durable medium.

(5) The custom order proposal and the Order Confirmation relate exclusively to the goods listed in them. Unless QUADRO and the Customer expressly agree otherwise, QUADRO does not undertake to plan or design the model contemplated by the Customer or to conduct any technical or structural review or any review for compliance with safety laws or other public-law requirements. In particular, QUADRO does not review the model's suitability for its intended purpose or installation site, the underlying surface, local conditions, required permits, or compliance with technical requirements applicable to the installation. QUADRO has no obligation to provide a TÜV inspection, safety acceptance inspection, or any other approval of the model. The Customer is responsible for the model's design, structural stability, suitability, permits, proper assembly, operation, supervision, inspection, and maintenance. QUADRO's responsibility for the characteristics of the goods delivered is governed by the provisions below.

(6) For purposes of these General Terms and Conditions, a Custom Model means either a model configured on the basis of documentation or specifications provided by the Customer or a model offered by QUADRO as a standard model whose design, parts configuration, or intended assembly is modified at the Customer's request before the contract is formed. The specific effects on guarantee coverage are set out in Section 10.

Section 4 Scope of Delivery; Assembly and Use

(1) QUADRO is obligated to provide only the goods listed in the Order Confirmation, in accordance with the product description and parts list applicable when the contract is formed.

(2) Images of assembled models may show examples of use or accessories that are not included. A specific distribution of colors within a construction kit is part of the agreed specifications only if expressly stated.

(3) The Customer must comply with the assembly, use, and safety instructions applicable to the goods. The Customer is responsible for ensuring that assembly, use, supervision, inspection, and maintenance are carried out in accordance with the product documentation and the requirements applicable at the place of use.

(4) Any modification, extension, or combination of QUADRO parts may be made only in accordance with the product documentation, the intended use, and the safety requirements applicable at the place of use. Statutory rights in the event of defects remain unaffected. The specific requirements and exclusions in Section 10 apply to the Voluntary Nine-Year Guarantee.

Section 5 Prices, Payment, Discounts, Delivery Areas, and Shipping Costs

(1) The prices stated in the online store include all taxes required by law. For custom order proposals, the prices stated in the applicable proposal apply. Any additional shipping costs are displayed during checkout or in the custom order proposal before the order is submitted.

(2) Payment must be made in advance in accordance with the details specified during checkout or in the custom order proposal. Deviating payment terms apply only if QUADRO and the Customer expressly agree to them in text form. Any stated delivery period begins after the contract has been formed in accordance with Section 2 subsection (6) or Section 3 subsection (4); full payment will already have been received by that time.

(3) A discount applied to the entire order is allocated among the individual goods in proportion to their original gross prices. For merchandise-value thresholds, partial withdrawals, and refunds, the resulting reduced price of each item is controlling, unless a conditional discount is recalculated pursuant to subsection (4).

(4) If a discount, coupon benefit, or other price reduction depends on a minimum merchandise value, a minimum quantity, a specific combination of goods, or a comparable condition, the benefit is retained following a partial withdrawal only if the goods retained continue to satisfy that condition. Otherwise, the price of the retained goods will be recalculated based on the prices and discount terms applicable to the original order. The refund amount equals the payment made for the original order, less the price then owed for the retained goods and the shipping costs recalculated pursuant to Section 8.

(5) There is no right of partial withdrawal with respect to individual components of a set or bundle offered as a single item for a total price. QUADRO may voluntarily permit a partial return. If the recalculation under subsection (4) results in no positive refund amount in connection with a voluntary partial withdrawal, the voluntary right of partial withdrawal is not available for the proposed scope. Within the statutory withdrawal period, the Consumer may include additional goods in the withdrawal or withdraw from the contract in full. The loss of a discount as a result of a partial withdrawal does not, by itself, create a payment obligation exceeding the total amount already paid.

(6) The quadroshop.com online store may be used for deliveries to Germany, Austria, Belgium, the Netherlands, France, Luxembourg, Poland, Spain, Italy, and Switzerland. QUADRO delivers directly to the first nine countries listed. Deliveries to Switzerland are processed exclusively through MeinEinkauf.ch in accordance with subsection (7).

(7) For deliveries to Switzerland, MeinEinkauf GmbH, Maybachstraße 19, 78467 Konstanz, Germany, is the recipient of the invoice and the supply and is QUADRO's contractual purchaser. The recipient in Switzerland is not the purchaser under the purchase contract between QUADRO and MeinEinkauf GmbH. QUADRO invoices MeinEinkauf GmbH for the goods and shipping costs and delivers the goods to MeinEinkauf GmbH's logistics center in Germany. MeinEinkauf.ch handles onward transportation, export, import, customs clearance, and delivery in Switzerland. The separate contractual relationship between the recipient in Switzerland and MeinEinkauf.ch remains unaffected.

(8) Slides are delivered only to Germany, Austria, the Netherlands, Poland, Italy, and mainland Spain, as well as to Switzerland through MeinEinkauf.ch. Slides are not delivered to Belgium, France, Luxembourg, the Balearic Islands or Canary Islands, Ceuta, or Melilla.

(9) Deliveries to Packstations are not available.

(10) The same shipping costs apply in the nine countries to which QUADRO delivers directly. Construction kits and extensions are shipped free of charge. If an order contains at least one component and the merchandise value of all components is less than EUR 50.00, a one-time charge of EUR 5.49 applies. If an order contains at least one slide and the merchandise value of all goods other than components is less than EUR 300.00, a one-time charge of EUR 19.99 applies. Both amounts include value-added tax as required by law. The flat charges are calculated independently, may both apply, and are each charged no more than once per order.

(11) For the value thresholds under subsection (10), the merchandise value displayed during checkout, including value-added tax and after deduction of discounts, is controlling. Shipping costs do not count toward the merchandise value. Only components count toward the EUR 50.00 threshold. All goods other than components count toward the EUR 300.00 threshold.

(12) For deliveries to Switzerland, the shipping costs displayed during checkout, including customs clearance, apply. EUR 24.99 is charged for the construction kits and extensions shipping profile, EUR 29.99 for the general shipping profile, and EUR 39.99 for the slides shipping profile. If the order contains goods from multiple shipping profiles, the total amount calculated for the specific order is displayed during checkout before the order is submitted. No additional customs duties or import charges are collected upon delivery.

(13) The shipping costs applicable to the specific order are displayed during checkout before the order is submitted.

(14) For a delivery made on the basis of a custom order proposal to an address outside the countries listed in subsection (6), the delivery area specified in the custom order proposal, the shipping costs stated there, and the delivery terms agreed there apply. There is no entitlement to delivery to any particular country. This provision does not bring standalone regional QUADRO online stores within the scope of these General Terms and Conditions.

Section 6 Delivery and Passage of Risk

(1) The delivery time for the applicable country of delivery is stated on the product page, during checkout, or in the custom order proposal. For deliveries to Switzerland, the stated delivery time also includes onward transportation and customs processing by MeinEinkauf.ch. An order may be shipped in multiple packages that may arrive on different days.

(2) QUADRO may make partial deliveries if this is reasonable for the Customer, the partial delivery can be used independently by the Customer, delivery of the remaining goods remains assured, and the Customer incurs no additional costs as a result.

(3) For Consumers, the risk of accidental loss or accidental deterioration of the goods passes upon delivery to the Consumer or to a third party designated by the Consumer and authorized to receive the goods. If the Consumer engages a carrier that QUADRO had not previously named to the Consumer, the risk passes when the goods are delivered to that carrier.

(4) For Business Customers, the risk passes upon delivery of the goods to the freight forwarder, carrier, or other third party designated to carry out shipment.

(5) For orders with a delivery address in Switzerland, delivery and passage of risk in the contractual relationship between QUADRO and MeinEinkauf GmbH are governed by the separate agreement with MeinEinkauf. Delivery to the recipient in Switzerland and the risks of onward transportation are governed by the recipient's separate contractual relationship with MeinEinkauf.ch.

(6) If goods are unavailable because QUADRO unexpectedly does not receive delivery for reasons beyond its control despite having entered into a timely, corresponding procurement transaction, QUADRO is entitled to rescind the contract, provided that QUADRO has not assumed the procurement risk. QUADRO will inform the Customer and refund any payments already received without undue delay.

(7) If delivery fails for a reason attributable to the Customer, including, in particular, because the delivery address is incorrect or incomplete or the Customer fails to ensure that delivery can be accepted despite advance notice, QUADRO may demand reimbursement of the reasonable additional transportation and storage costs actually incurred as a result. The Customer may demonstrate that no additional costs, or substantially lower additional costs, were incurred. QUADRO's statutory rights arising from default of acceptance remain unaffected.

Section 7 Retention of Title and Security Interests

(1) The respective goods remain the property of QUADRO until they have been paid for in full. For the contractual relationship with MeinEinkauf, the ownership provisions separately agreed with MeinEinkauf take precedence.

(2) With respect to Business Customers, QUADRO retains title to the delivered goods until all present and future claims arising from the business relationship, including any acknowledged account balances, have been satisfied in full.

(3) The Business Customer may resell goods subject to retention of title in the ordinary course of business. The Business Customer hereby assigns to QUADRO all claims against its customers arising from such resale, up to the final invoice amount attributable to the resold goods subject to retention of title. QUADRO accepts the assignment. The Business Customer remains authorized to collect the assigned claims until this authorization is revoked. QUADRO may revoke the collection authorization if the Business Customer is in default with respect to any secured payment obligation owed to QUADRO. In that event, the Business Customer must disclose to QUADRO the assigned claims and the respective debtors, provide all information and documents required for collection, and notify the debtors of the assignment.

(4) The goods subject to retention of title may not be pledged or transferred by way of security. The Business Customer must notify QUADRO without undue delay of any attachment or other third-party access, as well as any damage to or loss of the goods subject to retention of title.

(5) If the realizable value of the collateral exceeds the secured claims by more than ten percent, QUADRO will, at the Business Customer's request, release collateral of QUADRO's choosing.

(6) If, after the contract has been entered into, it becomes apparent that QUADRO's claim for payment is jeopardized by the Customer's lack of financial capacity, QUADRO may refuse to render any outstanding performance. QUADRO may give the Customer a reasonable period within which the Customer must either render the consideration concurrently with QUADRO's performance or provide security. If the Customer fails to do so within that period, QUADRO may rescind the contract.

Section 8 Withdrawal and Partial Withdrawal

(1) Consumers who are themselves parties to a contract with QUADRO have a right of withdrawal if the statutory requirements are met. The details are set out in the separate instructions on the right of withdrawal. Business Customers have no statutory right of withdrawal.

(2) Consumers may also exercise their right of withdrawal using the “Withdraw from Contract” function provided in the online store. Use of this function is not required to exercise the right of withdrawal. QUADRO will, without undue delay, provide the Consumer on a durable medium with confirmation of receipt of any withdrawal submitted using this function.

(3) If a Consumer orders multiple goods for which separate prices are stated, QUADRO additionally grants the Consumer the right, within the statutory withdrawal period, to withdraw from the contract with respect to individual goods only, provided those goods are subject to the statutory right of withdrawal. The Consumer may exercise the right of withdrawal with respect to components of a unit offered as a single item for a total price only for all such components together. Section 5, subsections (4) and (5), remain unaffected.

(4) In the event of a partial withdrawal, conditional discounts under Section 5, subsection (4), and shipping costs will be recalculated as they would have applied to the goods retained by the Consumer in the original order. The prices, discount terms, and shipping costs in effect when the order was placed are controlling. Shipping costs and return shipping costs are not included in the merchandise value.

(5) Shipping costs already paid will be taken into account in calculating the refund. If the recalculation results in higher shipping costs, the difference will reduce the refund due. If it results in lower shipping costs, QUADRO will refund the difference. The same flat shipping charge will not be charged twice.

(6) Consumers bear the direct costs of returning the goods. This does not apply to the extent that QUADRO must bear those costs under mandatory law or an express agreement to the contrary.

(7) QUADRO may withhold the refund until QUADRO has received the goods or the Consumer has provided evidence that the goods have been sent back, whichever occurs first. This does not apply if QUADRO has offered to collect the goods.

(8) The Consumer is liable to QUADRO for any diminished value of the goods resulting from handling other than what was necessary to inspect their nature, characteristics, and functioning, provided the statutory requirements for such liability are met.

(9) The goods must be returned to the return address stated in the instructions on the right of withdrawal provided when the contract was entered into.

(10) If the withdrawal includes at least one item that, because of its nature, cannot normally be returned by mail, the Consumer may use return transportation organized by QUADRO for all goods covered by that withdrawal. The Consumer's total cost for this return transportation is EUR 22.95, including applicable VAT; QUADRO bears any return transportation costs exceeding that amount. The flat charge applies only once, regardless of the number of packages collected. If the Consumer returns some of the goods independently and uses return transportation organized by QUADRO for the remaining goods, the Consumer bears both the costs of the independent return and the flat charge of EUR 22.95.

(11) The organized return transportation under subsection (10) is offered from the original delivery address in the country to which QUADRO delivered the goods directly. QUADRO may separately offer return transportation from a different pickup address and charge the Consumer the reasonable additional costs incurred compared with collection from the original delivery address. Before arranging such return transportation, QUADRO will inform the Consumer of any such additional costs.

(12) If the Consumer wishes to use the organized return transportation, the Consumer must notify QUADRO separately by email. If the withdrawal was submitted electronically, the Consumer may reply to the confirmation of receipt for this purpose. QUADRO will arrange collection only after the Consumer has confirmed the costs and the pickup date. Compliance with the reasonable packaging, preparation, and collection instructions communicated by QUADRO is a condition for the performance of this voluntary return transportation service, but not for the effectiveness of the withdrawal. After providing advance notice, QUADRO may charge the Consumer for additional costs actually incurred because of the Consumer's failure to follow these instructions and for which the Consumer is responsible.

(13) The costs of the organized return transportation will be offset against the refund due only with the Consumer's express consent. QUADRO may require advance payment of the stated costs before arranging the return transportation.

(14) If the withdrawal does not include any item that, because of its nature, cannot normally be returned by mail, QUADRO will not organize return transportation for a flat charge. The Consumer selects the return shipping method and bears its direct costs in accordance with subsection (6).

(15) For customs reasons, returns from Switzerland are processed through the MeinEinkauf.ch return service after prior coordination. Any right of withdrawal or return that the recipient in Switzerland may have against MeinEinkauf.ch, and the associated costs, are governed by the recipient's separate contractual relationship with MeinEinkauf.ch. Statutory rights in the event of defects and the Voluntary Nine-Year Guarantee under Section 10 remain unaffected.

Section 9 Statutory Rights in the Event of Defects

(1) Consumers who are themselves parties to a contract with QUADRO have the statutory rights in the event of defects. These rights may be exercised at no charge. For deliveries to Switzerland, the rights under the purchase contract with QUADRO belong to MeinEinkauf GmbH as the purchaser. The recipient in Switzerland may report a defect directly to QUADRO; further processing will be coordinated with MeinEinkauf.ch.

(2) If the Customer is a merchant and the purchase constitutes a commercial transaction for both parties, the inspection and notification obligations under Section 377 of the German Commercial Code (HGB) apply.

(3) With respect to Business Customers, QUADRO will initially determine whether cure will take the form of remedying the defect or delivering defect-free goods.

(4) A Business Customer's claims arising from defects in quality or title become time-barred one year after delivery of the goods.

(5) The shortened limitation period under subsection (4) does not apply where a defect was fraudulently concealed; where a guarantee was assumed; to claims under Sections 445a, 445b, and 478 of the German Civil Code (BGB); in the cases specified in Section 438(1), nos. 1 and 2 BGB; to claims for damages arising from death, bodily injury, or damage to health; in cases of intent or gross negligence; or where liability is mandatory by law. In these cases, the statutory limitation periods apply.

Section 10 Voluntary Nine-Year Guarantee

(1) The statutory rights in the event of defects against the respective seller may be asserted at no charge independently of this guarantee and are not restricted by it.

(2) The guarantor is:

(3) The first purchaser who acquires the goods not for resale, but for the purchaser's own use or for use by a third party to whom the purchaser gives the goods as a gift (First Purchaser), is eligible for the guarantee if the First Purchaser

(a) is a Consumer; or

(b) is an Eligible Educational or Care Institution as defined in subsection (4) and acquires the goods for its own use.

Other Business Customers are eligible for the guarantee only if QUADRO expressly grants them the guarantee in text form.

(4) Eligible Educational or Care Institutions are daycare centers, preschools, family child care providers, schools, and public, nonprofit, or therapeutic educational, care, or developmental support institutions whose predominant actual purpose is the education, care, or development of children and that use the goods themselves for that purpose. In particular, Resellers, lessors, and businesses whose predominant purpose in connection with the goods is a commercial leisure, entertainment, lodging, food-service, event, or retail operation are not included. The legal form or a promotional designation as an educational or care institution is not, by itself, determinative. QUADRO may require suitable evidence that the requirements of this subsection are met.

(5) QUADRO provides a nine-year guarantee for original parts in the following product groups: tubes, connectors, panels, screws, screw keys, and integrated slides. This also applies to original parts in these product groups that QUADRO sells as refurbished. Other parts and product groups are not covered by the Voluntary Nine-Year Guarantee unless QUADRO expressly provides otherwise. The guarantee period begins upon delivery to the First Purchaser.

(6) For a Consumer under subsection (3)(a), the guarantee also applies if the guaranteed parts were delivered under a custom order proposal for a Custom Model or if the Consumer later modifies a model within the QUADRO system. The exclusions in subsections (15) and (16) remain unaffected.

(7) For an Eligible Educational or Care Institution, the guarantee applies exclusively to guaranteed parts of a product offered by QUADRO as a standard model on quadroshop.com, provided that the product is delivered with the parts configuration specified by QUADRO and is assembled and used in accordance with the design specified by QUADRO for that product and the corresponding assembly instructions. The guarantee does not apply to such an institution if

(a) before the contract is entered into, the model is changed at the Customer's request with respect to its design, parts configuration, or intended assembly;

(b) it is configured on the basis of a QDF file, drawing, sketch, parts list, or other individual specification provided by the Customer; or

(c) the institution later modifies the delivered standard model in a manner that deviates from the specified parts configuration, design, or corresponding assembly instructions.

QUADRO may expressly grant the guarantee for such a case in text form.

(8) If a First Purchaser eligible for the guarantee under subsection (3) purchases an unchanged QUADRO standard product as genuine QUADRO goods from a Reseller, this does not preclude the guarantee. If, however, the Reseller has created its own parts combination or construction using QUADRO parts, modified a standard product, or offered the goods as its own set or model, the guarantee applies only if QUADRO has expressly granted it in text form.

(9) The guarantee applies to goods originally delivered to the First Purchaser at an address in Germany, Austria, Belgium, the Netherlands, France, Luxembourg, Poland, Spain, Italy, or Switzerland. For a delivery through MeinEinkauf.ch, the recipient in Switzerland to whom MeinEinkauf.ch delivers the goods is deemed the First Purchaser for purposes of this guarantee. Guarantee services and the standard transportation required for those services are provided at no charge to and from addresses within these ten countries. Returns and replacement deliveries for Switzerland are handled through MeinEinkauf.ch after prior coordination.

(10) If the original delivery to the First Purchaser was made to another country, a guarantee otherwise available under the remaining subsections may also be claimed if the goods were delivered under a custom order proposal from QUADRO or as genuine QUADRO goods through a Reseller. This does not apply if the separate guarantee terms of a regional QUADRO online store apply to the purchase. Instead of Section 14, subsection (2), the substantive law of the country of the original delivery address applies to a guarantee under this subsection, without regard to that country's conflict-of-laws rules. Mandatory consumer protection remains unaffected. QUADRO may charge the guarantee beneficiary all or part of the required transportation, export, import, customs, and processing costs to the extent permitted under the mandatory law applicable there. QUADRO will disclose the anticipated costs before commissioning any transportation or processing service for which a charge will apply and may condition performance of that service on prior acceptance or payment of the costs.

(11) A claim under this guarantee arises if, during the guarantee period and under normal, intended use, a material or manufacturing defect occurs that impairs the usability of the guaranteed part.

(12) A claim under the guarantee may be submitted directly to QUADRO using the complaint or guarantee form provided by QUADRO or in text form. Required documentation consists of proof of purchase from QUADRO or the applicable Reseller, a description of the defect, and, to the extent reasonable and available, meaningful photographs and the item number of the affected part. Recipients in Switzerland may document the purchase by providing proof of purchase from MeinEinkauf.ch. QUADRO may require credible evidence of the claimant's status as the First Purchaser or of a transfer permitted under subsection (18), any additional information required to evaluate the claim, and an inspection of the affected part.

(13) In the event of a guarantee claim, QUADRO will, at its option, repair the part or replace it with the same or a functionally equivalent part. Guarantee service will be provided within a reasonable period and without significant inconvenience to the guarantee beneficiary. If repair or a corresponding replacement is not possible, QUADRO will provide an appropriate equivalent replacement solution. The guarantee does not confer any right to a refund of the purchase price.

(14) The guarantee beneficiary must return the part complained of to QUADRO in accordance with the shipping or pickup instructions provided by QUADRO. QUADRO may require the part to be returned before carrying out a repair or delivering a replacement or, at QUADRO's option, may deliver a replacement in advance. If a replacement part is provided, title to the part complained of transfers to QUADRO upon delivery of the replacement part. QUADRO may waive the return requirement in text form. Subsections (9) and (10) apply to transportation costs.

(15) The guarantee does not apply to the extent that the claimed impairment was caused by ordinary wear and tear, purely cosmetic changes that do not impair functionality, loss, incorrect or incomplete assembly, use for an unintended purpose, overloading, inadequate supervision, technically improper modifications or repairs, improper care, cleaning, storage, or placement, unsuitable supporting surfaces, failure to follow assembly, use, or safety instructions, or other external influences.

(16) The guarantee does not apply to the extent that the claimed impairment was caused by combining or using the guaranteed part with a part that does not originate from QUADRO.

(17) If guarantee service is provided from or to an address other than the original delivery address, QUADRO may charge the reasonable additional transportation and handling costs incurred as compared with providing the service at the original delivery address, to the extent permitted by law. QUADRO will inform the guarantee beneficiary of any such additional costs in advance.

(18) The guarantee is personal and nontransferable. In the case of a credibly demonstrated gratuitous transfer, particularly within a family, QUADRO may consent to the transfer in text form; there is no entitlement to such consent. Private use by a gift recipient contemplated at the time of the original purchase under subsection (3)(a) is not deemed a transfer.

(19) Guarantee service neither restarts nor extends the guarantee period. Repaired or replaced parts are covered for the remainder of the guarantee period applicable to the part originally delivered.

(20) QUADRO will provide these guarantee terms to the guarantee beneficiary on a durable medium no later than upon delivery. For purchases through a Reseller, the guarantee terms may also be accessed and saved at quadroshop.com.

Section 11 Special Provisions for Business Customers and Resellers

(1) Nonpublic offers, purchase prices, discounts, commercial terms, price lists, pricing calculations, and other commercial information that QUADRO provides to a Business Customer must be treated as confidential and may be used solely for conducting the business relationship. This confidentiality obligation applies for as long as and to the extent that the information has not become generally known without a breach of duty by the Business Customer. Disclosure to employees and professional advisors subject to confidentiality obligations is permitted to the extent they require the information for this purpose. Disclosures required by law remain permitted; the Business Customer must notify QUADRO in advance to the extent legally permissible and practically feasible.

(2) A Reseller may resell unchanged QUADRO goods in their original packaging in the ordinary course of business. Without QUADRO's prior express consent in text form, a Reseller may not, in particular,

(a) alter the combination of parts specified by QUADRO for a standard product;

(b) use QUADRO parts to create its own construction kits, sets, models, or structures and offer them under its own or a different product name; or

(c) alter QUADRO goods or their packaging in a manner that creates the impression of a product or structure approved by QUADRO.

(3) Trademarks, product names, product images, text, assembly instructions, design documents, and other intellectual property rights of QUADRO remain owned by QUADRO or the applicable rights holder. The Business Customer is granted only the nonexclusive, nontransferable rights of use necessary to resell unchanged genuine QUADRO goods in accordance with the contract. Any further use requires QUADRO's prior consent in text form.

(4) The Business Customer may not make, on behalf of QUADRO, any statements concerning product characteristics, safety, use, or guarantees that deviate from the product documentation, these General Terms and Conditions, or an express undertaking by QUADRO. Any separate commitments made by the Business Customer do not bind QUADRO.

(5) A Reseller may not remove, obscure, or alter markings used for identification or traceability, safety information, or warnings. The Reseller must ensure that storage and transportation do not impair the safety or contractual conformity of the goods and must provide the purchaser, in full and without modification, with the assembly, use, safety, and guarantee information supplied by QUADRO no later than upon delivery. The guarantee terms for Consumers must be provided to the purchaser on the durable medium supplied by QUADRO.

(6) The Business Customer must notify QUADRO without undue delay of any significant product-safety incidents, actions by regulatory authorities, product recalls, or claims alleging infringement of third-party intellectual property rights of which it becomes aware, to the extent QUADRO goods are affected. The Business Customer must cooperate with safety measures and recalls to the extent required by law. Statutory notification and cooperation obligations remain unaffected.

(7) If the Business Customer culpably breaches a duty under subsections (2) through (6) and third-party claims are consequently asserted against QUADRO, the Business Customer must indemnify QUADRO against those claims and the necessary, reasonable costs of legal defense to the extent the claims were caused by its breach. Any further statutory claims of QUADRO remain unaffected.

(8) Unless expressly agreed otherwise, QUADRO remains free to supply Business Customers, Resellers, and end customers directly or through third parties and to determine its own distribution channels, delivery territories, and customer groups. No protected territory, protected customer group, or exclusivity right exists except under an express agreement in text form.

Section 12 Liability

(1) QUADRO's liability is unlimited in cases of intentional misconduct or gross negligence; for death, bodily injury, or harm to health caused intentionally or negligently; for fraudulent concealment of a defect; to the extent of any guarantee assumed; and under mandatory statutory provisions, including, in particular, the German Product Liability Act.

(2) In the event of a breach through slight negligence of a duty whose performance is essential to the proper performance of the contract and on whose performance the Customer may reasonably rely, QUADRO's liability is limited to damages that were foreseeable when the contract was entered into and are typical for this type of contract.

(3) In all other respects, liability for damages caused by slight negligence is excluded.

(4) The foregoing limitations of liability also apply for the benefit of QUADRO's legal representatives and persons engaged by QUADRO in the performance of its obligations.

Section 13 Setoff and Right of Retention

(1) The Customer may set off only counterclaims that are undisputed, have been established by a final judgment, or arise from the same contractual relationship.

(2) The Customer may exercise a right of retention only on the basis of counterclaims arising from the same contractual relationship.

Section 14 Contract Language, Governing Law, Place of Performance, Venue, and Dispute Resolution

(1) The language of the contract is German. QUADRO may alternatively permit the contract to be entered into in English or another language offered during the ordering process. In that case, the language offered and selected by the Customer during the ordering process is the language of the contract.

(2) German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). With respect to Consumers, this choice of law applies only to the extent that it does not deprive them of the protection afforded by mandatory provisions of the country in which they have their habitual residence. Notwithstanding the foregoing, Section 10, subsection (10), applies to the Voluntary Nine-Year Guarantee if the original delivery was made outside the countries listed in Section 10, subsection (9).

(3) The terms agreed between a recipient in Switzerland and MeinEinkauf.ch apply to their separate contractual relationship.

(4) For contracts with Business Customers, QUADRO's registered office is the place of performance for all obligations of both parties, unless expressly agreed otherwise.

(5) If the Customer is a merchant within the meaning of the German Commercial Code (HGB), a legal entity under public law, or a special fund under public law, Hamburg is the exclusive venue. QUADRO nevertheless remains entitled to sue the Customer in the courts having general jurisdiction over the Customer. Any exclusive jurisdiction prescribed by law remains unaffected.

(6) QUADRO is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
